12. Dispute Resolution and Governing Law

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Collier County, Florida, and you consent to personal jurisdiction and venue therein.

Dispute Resolution

In the event of any dispute, controversy, or claim arising out of or relating to these Terms or services provided:

  1. Informal Resolution: The parties agree to first attempt to resolve the dispute through good faith negotiations for a period of 30 days
  2. Mediation: If informal resolution fails, the parties agree to participate in mediation before a neutral third-party mediator in Collier County, Florida
  3. Binding Arbitration: If mediation is unsuccessful, disputes shall be resolved through binding arbitration conducted in accordance with the American Arbitration Association's Commercial Arbitration Rules in Collier County, Florida
  4. Exceptions: Either party may seek injunctive relief in court for intellectual property infringement or confidentiality breaches

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.
